Client Agreement 

 

1. Introduction

 

This Hearty Helper Customer Agreement is created by Private Company Limited, doing business as Hearty Helper, and you, the Site Customer, and our services.

 

Hearty Helper is the site services and other channels that provide opportunities and facilitate connections between the Caregiver (also known as the Service Provider) and the Customers, including hosting, maintaining, administering the formation of Service Agreements between users, providing payment processing, and assisting users in resolving any disputes that may arise concerning those services. Hearty Helper is neither the carers' nor the Customers' agent.

 

The Customer, as an independent employer, is the Site user and desires to hire or collaborate with the Caregiver in the Service Listing via the Site, subject to the following terms and restrictions. Customer recognizes, understands, and accepts that by registering for or using the Site, Customer agrees to be bound by the following terms and conditions and any other policy posted on the Site. Hearty Helper has the right to update or modify the Hearty Helper Customer Agreement at its sole discretion and at any time ("Agreement"). Whether publicly posted or privately sent, any modifications to this Agreement shall become effective and bind the Customer. If the Customer registers on the Site or continues to use the Site, the then-current terms of this Agreement shall govern.

 

THIS AGREEMENT IS EFFECTIVE AND BINDING ON THE PARTIES WHEN THE CUSTOMER MANUALLY SIGNS HIS NAME IN THIS AGREEMENT OR CLICKS THE "I ACCEPT" Button "SIGN UP," "JOIN NOW," "SIGN IN," "SEND," "CREATE ACCOUNT," "LOG IN," "CONFIRM DATE OF BIRTH," "SEND MESSAGE," "CONTACT US," "INTERESTED," "CONTACT US VIA SOCIAL MEDIA PLATFORMS, " "LINE," "WHATSAPP," "FACEBOOK," "INSTAGRAM," "EMAIL," "PHONE," " DO NOT USE THE SITE IF THE CUSTOMER DISAGREES WITH ANY OF THE TERMS OF THIS AGREEMENT.

 

2. Explanation

 

Unless the context indicates otherwise, the following definitions shall apply to the terms and phrases listed below, and cognate expressions should accept similar meanings:

 

Hearty Helper refers to Private Company Limited and its subsidiaries and affiliates ("Hearty Helper," "we," and "us");

Customer refers to a customer who orders and purchases the Services through the Site, electronically, over the phone, or in person ("Customer," "you," or "your"); "Caregiver" refers to the independent contractor Caregiver who wishes to offer their Services to the Customer through the Site and who has registered on the Caregiver Portal on the Site; "Site" refers to www.HeartyHelper.io and any other websites, web pages, mobile applications, and mobile websites operated by Hearty Helper.

"Claims" refers to any known or unforeseen and claimed or actual acts, causes of action (whether in tort, the Agreement, or strict responsibility and regardless of the applicable legislation), claims, requests, lawsuits, legal procedures, administrative or other proceedings or litigation;

"Content" refers to any information generated or encountered through the use of the Site, including user interfaces, visual interfaces, trademarks, logos, data files, device characteristics, written text, software, graphics, photographs, images, sounds, artwork, messages, algorithm, and computer code, as well as the design, structure, selection, coordination, expression, "look and feel," and arrangement of such Content.

"Intellectual Property Right" refers to any patent, copyright, trademark, service mark, trade dress (including any proprietary "look and feel"), trade name, logo, moral right, trade secret, and any other intellectual property right arising under any law, as well as all ancillary and related rights, including all rights of registration and renewal and causes of action for violation, misappropriation, or infringement of any of the aforementioned (IP Right);

"Customer Marks" refers to the name, trademarks, service marks, and logos of the Customer;

"Losses" refers to all damages (including, without limitation, direct, consequential, economic, and punitive), sanctions, settlement payments, disbursements, judgments, liability, losses (including lost income or profit), costs or expenses of any kind, whether accrued, absolute, contingent, or otherwise, including, without limitation, attorneys' fees and expenses (whether or not a lawsuit is filed);

"Transaction Information" refers to the Customer's Order and the Caregiver's payment information, including the Customer and Caregiver's name, phone number, email address, and address.

 

3. Customer represents, warrants, and agrees that; 

 

In the case of an individual, you are of legal age to enter into binding this Agreement, or that if you are registering on behalf of a legal entity, you are authorized to enter into and bind the entity to this Agreement; Customer shall use the Site and purchase the Services for lawful purposes only, and in accordance with the terms and conditions of this Agreement, the existing and additional applicable policies of Hearty Helper; Customer shall not use the Site or Services.

The customer is responsible for independently analyzing and deciding the appropriateness of any proposed engagement or possible Caregiver. If the Customer wishes to engage in a Service Agreement, the Service Agreement is formed directly by and between the Customer and Caregiver, who are solely responsible for the Service Agreement between them; Hearty Helper is not a party to this Service Agreement. Hearty Helper is not liable for and is not engaged in any breach, violation, or loss between the Customer and the Caregiver, regardless of the reason. Hearty Helper does provide ancillary services in support of the administration of the Service Agreement, such as payment processing and dispute resolution facilitation. 

The customer is responsible for the Fee you and the Caregiver agree upon. In some cases, the Caregiver may ask to incorporate an additional set of terms and conditions they define, in which case the Customer will be asked to agree to a separate Service Agreement between the Customer and Caregiver. The Service Agreement is made by and between the Customer and Caregiver. It is not involved and obliged to Hearty Helper. Please only enter into a contract with the Caregiver or carers if you inform Hearty Helper. If you violate this policy, you will be banned from Hearty Helper and have to pay any charges, including, but not limited to, legal fees and damages. In addition, Hearty Helper maintains the right to file a police complaint in order to collect all damages.

 

4. Establish a Customer Account

 

The Customer must complete the Site registration procedure to establish an account with a username and password (the "Account") to use the Site's Services fully. You may only share your password with an authorized individual. You must always give correct, up-to-date, and comprehensive information and immediately update it to ensure its accuracy and completeness. You are entirely responsible for any actions that occur on or through your Account, and you undertake to alert Hearty Helper promptly of any breach of security involving your Account. Hearty Helper is not liable for any losses incurred as a result of the unauthorized use of your Account. You consent to Hearty Helper storing and using the registration information you give for account maintenance and invoicing.

 

If Hearty Helper approves the Customer's registration for the use of the Site, Hearty Helper will provide the Customer access to the Site for engagement of Services on Service Listings. Hearty Helper maintains the right to modify or alter any site component and may terminate site access at any time and without notice.

 

5. Purchase the Service

 

After placing an order for the Features and paying any applicable fees via the Site, you may utilize the Site's services under your Account to communicate with the Caregiver and arrange for delivery of the Services.

In some instances, the Caregiver may want to include an extra set of terms and conditions that they establish, in which case the Customer will be required to agree to a new Service Agreement with the Caregiver. The Service Agreement is between the Customer and the Provider. It is not obligated or linked with Hearty Helper.

All Offering Service-Related Website Content is supplied by and the responsibility of the Caregiver. Hearty Helper does not represent, guarantee, or confirm the truth, correctness, non-misleading, non-deception, safety, or licensing of such Content. Hearty Helper is not liable for any fraud or Losses suffered as a consequence of using or relying on any Content posted, emailed, communicated, or otherwise made accessible on the Site. The Caregiver is entirely responsible for the accuracy of their pricing and all Content for Services and must fulfill any purchase made by a Customer as a consequence of the Content supplied on the Site.

If a Caregiver publishes erroneous pricing information in the Service Listing (a "Pricing Error"), it is not affiliated with Hearty Helper and is not its responsibility. The Caregiver is accountable and addresses this matter with deliberation, independent of Hearty Helper's direction and control. Hearty Helper offers service channels to assist the Customer with any issues relating to the usage of the Site and its services. Customers may remark, rate, and evaluate the performance of the Caregiver using the Site's rating and review channel, understanding that they are responsible for such Content.

Customers acknowledge, understand, and agree that Caregiver is solely responsible for determining and has the sole right to choose which work to accept; the time, place, manner, and means of providing any Services; the type of services they provide; and the price they charge or how that price is determined or set.

Hearty Helper shall have no responsibilities or obligations under or linked to Service Agreements and/or Caregiver's Services for any actions or omissions committed by the Customer or Caregiver. Hearty Helper is not a party to the relationship between the Customer and Caregiver or the Service Agreement. The Customer is solely responsible for the following, without limitation: ensuring the accuracy and legality of any Customer information; determining the Caregiver's suitability for a Service Agreement (including any interviews, vetting, background checks, or similar actions); negotiating, agreeing to, and executing any terms or conditions of the Service Agreement; and paying the Fees set forth for Customer Orders and Caregiver's Services.

Hearty Helper does not monitor, direct, or control any Caregiver or Caregiver's Services in any manner; does not impose quality standards or a deadline for completion of any Caregiver's Services; and does not prescribe the performance, techniques, or procedure used by Caregiver to deliver services. The Customer is responsible for analyzing and establishing the acceptability of any proposed engagement or prospective Caregiver. Hearty Helper is not liable for Losses resulting from the Service Agreement.

Hearty Helper does not set or have any control over a Service's pricing, work hours, work schedules, work location, or otherwise, nor is it involved in determining the nature and amount of any compensation that may be charged by or paid to the Caregiver for work performed. You and Caregiver establish all terms and conditions of the Service Agreement at their exclusive discretion. The Service Agreement imposes responsibilities and obligations on the Customer and the Caregiver.

 

Orders Status Update 

After the Customer's payment, the Customer will access the Site. The customer uploads all transaction information to the Caregiver Portal, and the Caregiver will manage all Orders through the Caregiver Portal, where the Customer may see, verify, and monitor the progress of their order. Hearty Helper may suspend, cancel, or restrict a transaction if it suspects it is erroneous, duplicated, violates the Hearty Helper Policy, or fraudulent. The customer accepts the Hearty Helper price, payments, and conditions displayed on the Site and Hearty Helper's billing.

 

Customer Problems

The customer accepts and understands that Caregiver is liable for any customer service concerns pertaining to Caregiver's Services. Hearty Helper is not responsible for handling Caregiver Services-related customer service concerns. Nonetheless, Hearty Helper assists and supports Customers by contacting the Caregiver directly to address Customer service difficulties. If Caregiver fails not to handle a customer service problem, the Customer may take any action permitted by the Service Agreement and relevant law to resolve the matter directly with Caregiver.

The customer understands and accepts that Hearty Helper is not engaged in disputes originating between Customer and Caregiver under the Service Agreement, and Hearty Helper is not bound to offer dispute support for such issues.

 

Customer Evaluations and Rankings

Hearty Helper may request and permit the Customer and Caregiver to rank or comment on the Caregiver's Services or performance and may publish any such ratings or comments on the Site. Customers know they are entirely liable for any legal action the Caregiver or third parties may take in response to or in connection with their evaluations. Suppose the review contains unlawfully actionable or defamatory Content. In such a circumstance, Hearty Helper is not legally liable for any reviews or remarks posted or otherwise made public on the Site by the Customer or Caregiver, even if such information is libelous or otherwise lawfully actionable.

 

Cancellation and Refund of Orders

Hearty Helper is not liable for reimbursements in the event that a Customer cancels or modifies an Order for paid services via the Site or other communication channels. 

 

All transactions and purchases are non-refundable. 

Hearty Helper maintains the right, at its sole discretion, to accept or reject any refund and modification requests from Customers. If Hearty Helper approves or declines the cancellation or modification request, the Customer will be notified through the Site or another communication channel. In the event of rejection, the Customer acknowledges and agrees that they will not assert any claims against Hearty Helper in connection with these concerns. The plans are detailed on the website's price page, and you have been informed of the terms in the event that the Customer or service provider is dissatisfied. You agree to no refund and all of Hearty Helper's legal conditions by paying your invoice. Hearty Helper maintains the right to change or modify its Cancellation Order Policy at any time and without notice, at its sole discretion. Hearty Helper will announce the change on its website or through private communication.

 

6. Charges & Fees

 

By using and buying the Caregiver Portal's Services via the Site, the Customer will be charged one of the supported payment methods. All costs are exclusive of value-added tax or other relevant taxes on services, which you must pay in accordance with applicable legislation. The Customer is responsible for deciding, calculating, collecting the report, and remitting the proper withholding from Hearty Helper to the appropriate tax authorities if any withholding is required. If Customer fails to compute, collect, and pay withholding taxes as required by law, Customer is entirely accountable and liable to the relevant tax authorities, and Customer must not charge Hearty Helper for such amounts. Customers are responsible for paying any costs outlined in Hearty Helper's policy, price information page, and other pages. The Customer accepts Hearty Helper's terms of service, privacy policy, and customer agreement by paying their invoice. Please visit www.HeartyHelper.io for more information. Hearty Helper may modify the Fee and terms by publishing the revised Fee and conditions on the pricing information page or providing a written notice. Any amended Fees or conditions will go into effect as of the date posted. Failure by the Customer to pay the Fee is a significant violation of this Agreement.

Unless we specify otherwise, costs for any new Service or Service feature become effective when we publish revised fees and charges on the Site. We reserve the right, with advance notice, to raise or add additional fees and charges to the Services you are already paying for.

Taxes Upon payment of any fees, as required by applicable law, each Party is responsible for identifying and paying all taxes and other governmental fees and charges (and any penalties, interest, or other additions thereto) that are imposed on that Party with respect to the transactions and payments under this Agreement.

By paying any fees, the Customer acknowledges and agrees that Caregiver is responsible for determining whether Caregiver Taxes apply to a Customer Order; collecting, reporting, and remitting the correct Caregiver Taxes to the appropriate tax authorities; reviewing, determining, and calculating settings and all related tax information for Services;

 

Examining every tax-exempt transaction:

All payments charged by the Customer are exclusive of Indirect Taxes unless otherwise required by law. Hearty Helper may charge relevant Indirect Taxes that Hearty Helper is legally entitled or permitted to collect from Customer, and Customer shall pay such taxes. The Customer shall supply Hearty Helper with the information necessary for Hearty Helper to evaluate whether it is obliged to collect Indirect Taxes from the Customer. Hearty Helper will not collect, and the Customer will not pay any Indirect Tax for which you provide a properly executed exemption certificate or direct payment permission certificate and for which Hearty Helper may claim an exemption.

 

All payments made by the Customer to Hearty Helper according to the terms of this Agreement shall be paid without any deductions or withholdings required by law. If any such deduction or withholding (including, but not limited to, cross-border withholding taxes) is needed on any payment, the Customer will pay any extra amounts necessary to ensure that the net amount received by Hearty Helper equals the amount then due and payable under this Agreement. Hearty Helper shall supply the Customer with any tax paperwork reasonably required to decrease or eliminate any withholding or deduction for taxes on payments received according to this Agreement.

Methods of Payment The following ways are available for making payments:

 

Charge Card: Card payments are handled by a third-party payment processor (the "Payment Processor") in order to connect the Customer's credit card account with the Site. In addition to Hearty Helper's Policy, the processing of payments or credits in conjunction with this Agreement shall be subject to the terms and privacy policies of the Payment Processor and the Customer's credit card issuer, as applicable. The Payment Processor is not accountable for any mistakes made by Hearty Helper. Hearty Helper will collect specified transaction information in connection with this Agreement, which it will use strictly in compliance with our Privacy Policy.

 

Bank Transfer: If the User pays for the Service offering through an Automated Teller Machine or internet bank transfer (a "Bank Transfer") to a specified Hearty Helper bank account, the User must provide Hearty Helper with the transfer receipt or payment transaction reference for verification purposes. The order will be canceled if Hearty Helper does not receive payment confirmation within three (3) days.

Hearty Helper accepts no responsibility and assumes no liability for any loss or damage incurred by the User due to payment information submitted by the User or incorrect remittance in connection with the purchase of a Service offering. We retain the right to verify if the User is permitted to use a particular payment method, and we reserve the right to pause the transaction until such permission is confirmed or to cancel the transaction if such confirmation is unavailable. 

 

7. Confidentiality and Personal Privacy

 

"Confidential Information" refers to any information provided in connection with this Agreement by one Party to the other. The terms and conditions of this Agreement are considered Confidential Information, including, but not limited to, all trade secrets; existing or planned services, designs, technology, processes, technical data, methodologies, concepts, strategy, and any information related thereto; transaction Information, all payment card data, and all tax codes of the Site; Caregiver listings and information about caregivers.

 

Exclusions

Confidential Information shall exclude Information that: was independently developed by Customer without any use of the Hearty Helper's Confidential Information or by the Customer's employees or other agents (or independent contractors hired by Customer) who have not been exposed to the Hearty Helper's Confidential Information; becomes known to the Customer, without restriction, from a source other than the Hearty Helper without breach of this Agreement and that had a reasonable basis for being disclosed to the Customer; or was independently developed by Customer.

The customer has access to Confidential Information belonging to Hearty Helper, Caregiver, its suppliers, and others for the length of this Agreement, and the Customer shall not breach any Hearty Helper privacy rules or applicable laws. The Customer shall maintain the confidentiality of all Information and shall not divulge Confidential Information to a third party, except as specifically allowed by this Agreement. The Customer commits not to expose Hearty Helper's sensitive information to its rivals.

The customer knows and consents that, in accordance with the Hearty Helper Privacy Policy and applicable legislation, Hearty Helper and its suppliers may collect, use, disclose, and/or process your personal data for the Site, this Agreement, and as required by law. Customers acknowledge that Hearty Helper may disclose their personal information to third parties for processing and facilitating the Site's services (such as finance and accounting, information technology service provider, consultants, or advisors), law enforcement or government authorities in order to comply with a legal obligation or in the course of legal action. You thus agree to share your personal information as required by law, as necessary in connection with a legal procedure, or to authorized receivers of communications under relevant legislation. In some instances, a third party may be situated outside of Thailand, and thus, your Information may be transmitted to or via a place outside of Thailand and may be available to regulatory authorities in accordance with the laws of such areas.

 

8. Ownership of Intellectual Property and Information

 

Customer grants Hearty Helper and its partners a non-exclusive, royalty-free, perpetual, irrevocable right and license to publish, use, reproduce, distribute, transmit, display, modify, and otherwise commercially exploit all Content (excluding Customer Marks), any document or data ("Customer Information") in connection with use of the Services via the Site. The customer acknowledges that Hearty Helper may allow Site users to publish and upload Content on their social networking accounts.

The customer thus provides Hearty Helper and its marketing partners a non-exclusive, royalty-free, non-transferable license to publish, use, reproduce, distribute, transmit, and display Customer Marks in connection with Hearty Helper's services for the period.

Hearty Helper shall hold all rights, title, and interest in the Site, any data collected or kept in connection with the Site, and any Intellectual Property (IP) Rights. Except as explicitly granted in this Agreement, the Customer has no ownership or licensing rights to such rights. If Customer is regarded to have any ownership interest or rights in all or a portion of the above, then Customer must assign these interests and rights to Hearty Helper. Hearty Helper may use Customer Information to establish, develop, or alter the Site or any other Hearty Helper idea, brand, software code, product, or feature (collectively, "Improvements"), and Hearty Helper will control all Improvements and related intellectual property rights. Customer shall assign to Hearty Helper any ownership interests or rights believed to exist in an Improvement.

Hearty Helper shall own all Transaction Information, and the Customer may only use Transaction Information in accordance with the provisions of this Agreement, Hearty Helper's Privacy Statement, and applicable Law. Customer shall not

  • Disclose or convey any Transaction Information to any third party (except as necessary to perform Customer's obligations under the Agreement).

 

9. Disclaimer 

 

Neither Hearty Helper nor its affiliates, officers, directors, licensors, suppliers, employees, or agents make any express or implied representations or warranties that the Site, Hearty Helper, any Caregiver Portal, services provided by Hearty Helper, any service provider, or Caregiver, or software used to provide the Services will be uninterrupted, timely, secure, or error-free. Hearty Helper shall not be responsible for any interruptions or errors, including, but not limited to, system or software failures or other disruptions that may impact the receipt, processing, acceptance, completion, or settlement of any transactions.

Hearty Helper nor its affiliates, officers, directors, licensors, suppliers, employees, or agents make any express or implied representations or warranties to Customer regarding the purchase of Caregiver's Services through the Site in accordance with this Agreement and all such services provided by Hearty Helper are provided "as is" and "as available."

Hearty Helper shall not be liable for any losses, fraud, violation, death, illness, personal injury, or property damage arising from or resulting in any way from any actual or alleged defect in a Service, any act or omission of the Caregiver, its agents, employees, or subcontractors relating to the Services they provide or Service Agreement or any causes between the Caregiver and Customers. Hearty Helper may or may not conduct a preliminary review of its customers and/or the Content or Information they give.

Hearty Helper utilizes third-party vendors and government agencies to provide document checks, background checks, identification validation, passport checks, visa checks, work permit checks, job reference checks, skills checks, skills validation, classes, covid checks, and medical checks, among others. Please note that there are restrictions on the supplied services. Therefore, neither Hearty Helper nor its affiliates, owners, officers, directors, licensors, suppliers, employees, or agents make any representations or warranties, express or implied, to a customer, customers, business, or any other party regarding the purchase of any services through the Site or via any other method of contact, and all such services provided by Hearty Helper are provided "as is" and "as available." Hearty Helper shall not be liable for any losses, fraud, violations, death, illness, personal injury, or property damage arising from or resulting in any way from any actual or alleged defect in service, any act or omission of the service professional, caregiver, its agents, employees, governmental agencies, or subcontractors relating to the services they provide. If a service provider or Caregiver includes wrong information, the background check may be conducted with erroneous identifying information, which may compromise the validity of the criminal background check and any other checks. Background checks, identification validation, passport checks, visa checks, work permit checks, job reference checks, skills validation, covid testing, medical checks, and other checks can be helpful and reveal potential red flags. However, they are not always 100 percent accurate, and no check should be relied on to determine a service provider or Caregiver's complete criminal history or suitability as a service provider or Caregiver. We advocate using these tests as one component of applicant screening and hiring. Background checks are not a replacement for rigorous in-person interviews, follow-up reference checks, web, and social media searches, getting copies of the candidate's identity credentials, and regular surveillance of all employees. This Agreement, as well as any interpretations or obligations made according to its provisions, shall be governed by the laws of the Kingdom of Thailand. Hearty Helper does not employ service providers or caregivers, nor is it responsible for the behavior or acts of any service provider, Customer, or other people, organization, or application. Customers utilizing the Site or firm to locate a service professional or Caregiver should not expect that the service professional or carers can swim, operate equipment, drive, administer medication, or do other tasks. Customers should continuously watch any person.

 

10. Conditions and Termination

 

This Agreement becomes effective upon Customer's registration on the Site and remains in effect until canceled by either Party.

The customer may cancel this Agreement for any reason by informing Hearty Helper in accordance with the terms outlined on the Site. Hearty Helper may terminate this Agreement at any time by providing notice to the Customer. Any termination of this Agreement shall not affect each Party's rights against the other concerning any claim, right, or obligation occurring before termination. Any obligations of the Parties relating to limitations on liability, confidentiality, and indemnification, as well as any other obligations under this Agreement that are intended to survive, including customer service obligations in connection with the Services provided under this Agreement, will survive termination of this Agreement. 

 

11. Reimbursement

 

Customer agrees to defend, indemnify, and hold Hearty Helper, its affiliates, its licensors, and each of their respective owners, officers, directors, other users, employees, attorneys, and agents harmless from and against any and all claims, costs, damages, losses, liabilities, and expenses (including attorneys' fees and costs) arising out of or in connection with: your violation or breach of any term of this Agreement or any Hearty Helper policy or any applicable law or regulation; or your use or access.

If Hearty Helper seeks indemnification for a Covered Claim, it may promptly notify the Customer of the Claim. The customer should immediately respond to Hearty Helper's notification of a Covered Claim and pick counsel reasonably acceptable to Hearty Helper to handle the Covered Claim if Hearty Helper notifies the Customer of a Covered Claim. A Hearty Helper Party may also, at its own cost, retain counsel to assist in defense of a Covered Claim. The customer must not bind a Hearty Helper Party in payment of a Covered Claim without the prior written approval of such Hearty Helper Party.

 

12. Amendment

 

Hearty Helper may modify the terms of this Agreement (including, but not limited to, any Annexures hereto) at any time and will either publish such modifications to the Site or provide notice through email ("Amendment Notice"). The customer must terminate this Agreement if it objects to any change to the provisions of this Agreement (including any Annexes). If Customer continues to use the Site after the amendment's effective date, Customer will be assumed to have agreed to and accepted the amendment's changes.

 

13. Recital

 

Neither Party shall be regarded to have waived any term of this Agreement or the exercise of any rights under this Agreement unless the waiver is specific and in writing. A party's waiver of a breach or violation of any term of this Agreement does not constitute a waiver of any subsequent or other breach or violation.

 

14. Aggravation

 

If any provision of the Terms is deemed unlawful, void, or for any reason unenforceable under the law of any jurisdiction, then that provision shall be deemed severable from the Terms and conditions and shall not affect the validity and enforceability of any remaining provisions in that jurisdiction or the validity and enforceability of the provision in question under the law of any other jurisdiction.

 

15. Interpretation and Application of Law

 

This Agreement, as well as any interpretations or obligations made according to its provisions, shall be governed by the laws of the Kingdom of Thailand.

"JOIN NOW, " "SIGN IN, " "SEND, " "CREATE ACCOUNT, " "LOG IN, " "CONFIRM DATE OF BIRTH," "SEND MESSAGE, " "CONTACT US, " "INTERESTED, " "CONTACT US VIA SOCIAL MEDIA PLATFORMS, " "LINE, " "WHATSAPP, " "FACEBOOK, " "INSTAGRAM, " "EMAIL, " "PHONE, " "CHAT, " "ACCEPT" "BUTTON, OR ANY OTHER METHOD OF COMMUNICATION DURING USE OF THE SITE, I ACKNOWLEDGE THAT I AM GENERATING A DIGITAL SIGNATURE, WHICH I INTEND TO HAVE THE SAME FORCE AND EFFECT AS IF I HAD MANUALLY SIGNED MY NAME.
